<content:encoded><![CDATA[<p style="margin: 0in 0in 7.5pt 0in;"><strong><span style="font-size: 10.5pt; font-family: 'Open Sans',sans-serif; color: gray;">TORONTO, ON / ACCESSWIRE / July 29, 2021 / </span></strong><span style="font-size: 10.5pt; font-family: 'Open Sans',sans-serif; color: gray;">Gratomic Inc. <strong><span style="font-family: 'Open Sans',sans-serif;">(“GRAT” or the “Company”) (TSXV:GRAT)(OTCQX:CBULF)(FRA:CB82) </span></strong>is pleased to announce that, further to its Press Release of June 29, 2021, the Company has acquired the remaining 37% interest (the “<strong><span style="font-family: 'Open Sans',sans-serif;">Interest</span></strong>“) in Gazania Investments Two Hundred and Forty Two (Proprietary) Limited (the “<strong><span style="font-family: 'Open Sans',sans-serif;">Acquisition</span></strong>“), the Namibian company which holds the licenses on the Aukam property (“<strong><span style="font-family: 'Open Sans',sans-serif;">Aukam</span></strong>“) pursuant to a definitive agreement (the “<strong><span style="font-family: 'Open Sans',sans-serif;">Agreement</span></strong>“) with Next Graphite, Inc. (“<strong><span style="font-family: 'Open Sans',sans-serif;">NextG</span></strong>“). Gratomic now holds 100% of the rights and interests in the Aukam Mining License (ML215) and exploration License (EPL 3895). As part of the transaction, Cliff Bream, President and CEO of NextG, has been appointed to the Board of Directors of Gratomic, subject to TSXV approval, and Lynne Brand has resigned as a director to facilitate the appointment of Cliff Bream as a director.<p></p></span></p>

<p style="margin: 0in 0in 7.5pt 0in;"><span style="font-size: 10.5pt; font-family: 'Open Sans',sans-serif; color: gray;">In consideration for the Interest, Gratomic issued 18,986,188 common shares (the “<strong><span style="font-family: 'Open Sans',sans-serif;">Escrowed Shares</span></strong>“), 2,272,727 common shares (the “<strong><span style="font-family: 'Open Sans',sans-serif;">Additional Shares</span></strong>“) and a further 4,500,000 common shares (the “<strong><span style="font-family: 'Open Sans',sans-serif;">Dilution Shares</span></strong>“) for an an aggregate of 25,758,915 common shares (the “<strong><span style="font-family: 'Open Sans',sans-serif;">Consideration Shares</span></strong>“) in the capital of Gratomic to NextG and ten (10) shareholders of NextG (the “<strong><span style="font-family: 'Open Sans',sans-serif;">NG Recipients</span></strong>“) and paid $100,000 in cash to NextG. Additionally, Gratomic agreed to honour its previous contractual condition to provide NextG with US$500,000 from the first US$1,000,000 of net revenue generated from sales of graphite from the Aukam property pursuant to the issuance of the Additional Shares and the agreement to pay US$250,000 (the “<strong><span style="font-family: 'Open Sans',sans-serif;">Revenue Amount</span></strong>“). In the event the Revenue Amount is not paid in full by July 29, 2022 (the “<strong><span style="font-family: 'Open Sans',sans-serif;">Due Date</span></strong>“), then any outstanding Revenue Amount will be settled by the issuance to NextG of that number of common shares (the “<strong><span style="font-family: 'Open Sans',sans-serif;">Settlement Shares</span></strong>“) as is arrived at by dividing the then outstanding Revenue Amount by the closing price of the Common Shares on the first trading day following the Due Date, less the maximum discount allowed by the rules of the TSXV. As part of the closing, NextG delivered a promissory note to Gratomic in the amount of US$71,752 (the “<strong><span style="font-family: 'Open Sans',sans-serif;">Promissory Note</span></strong>“) in respect of certain expenses owed by NextG to Gratomic. The Promissory Note bears interest at 10% per year and is due and payable on February 28, 2022, failing which, it bears default interest of 11% per annum. If the Promissory Note is not paid when due, Gratomic has the right to set off the principal amount of the Promissory Note plus accrued interest against the Revenue Amount.<p></p></span></p>
<p style="margin: 0in 0in 7.5pt 0in;"><span style="font-size: 10.5pt; font-family: 'Open Sans',sans-serif; color: gray;">The Consideration Shares issued to NextG and the NG Recipients are subject to a hold period expiring on November 30, 2021 and are subject to the provisions of an Escrow Agreement dated July 29, 2021. The Escrowed Shares and the Dilution Shares are subject to an 18-month escrow with a release of 1/3 of the original balance every 6 months, pro rata, and the Additional Shares are subject to a 12-month escrow and shall be released from escrow, pro rata, on the Due Date.<p></p></span></p>

     <p align="start">The Aukam processing plant was constructed between December 2017 and March 2018, with initial throughput and optimization reached during March and April 2018. To date, the plant has generated 5 tons of graphite concentrate grading between 88%-95% Carbon as Graphite (“<b>Cg</b>”) of which 2.5 tons of concentrate has been shipped to Perpetuus Carbon Technologies (“Perpetuus”) for the manufacture of graphenes to be used in the automobile and bicycle tire industry. Next Graphite’s joint venture partner, Gratomic Inc. Once the market has been established, Perpetuus states that it has the capability to elevate capacity to 1000’s of tons per annum of graphite derived surface modified multilayer graphenes / graphene flakes (“GNP’s”).</p>     <p align="start">The first cycle tire order for the graphenes to a globally recognized brand is planned for delivery at the end of the second quarter of 2018. Additional applications that have now been generated in a pre-production format include radiant heating membranes and super hydrophobic coatings with an addressable market that includes: marine, oil &amp; gas, power generation, industrial (repair &amp; maintenance), infrastructure (new build) and automotive &amp; transportation, among others.</p>     <p align="start">The Aukam processing plant uses a simple crushing, grinding and flotation system with a current capacity of 650 tons per annum. Construction is already underway for the installation of a larger mill with an 11,000 ton per annum capacity.</p>     <p align="start">Graphite Feed for the Aukam processing plant is obtained from screening and sorting of stockpiles existing from historical and recent mining. An average feed grade of 56.29% Cg with a range of 41.55% Cg to 63.87% Cg was determined from ten 2kg to 30kg grab samples from across the stockpiled lumps. This zone broadly corresponds to a 700-meter long electromagnetic anomaly delineated earlier this year. Sampling is ongoing to fully delineate the potential of the graphite mineralization at Aukam.</p>     <p>Exclusive License Renewal: The Namibian Minister of Mines and Energy has approved the renewal of Exclusive Prospecting License (EPL) 3895 for a period of two years until April 3, 2019.</p>     <p>The renewed license covers an area of 27,870 hectares (278.7 square kilometers) over the historical Aukam vein graphite mine in southern Namibia. Recent work by the Company over the past two years has led to a better understanding of the quality and distribution of the graphite mineralization at Aukam. <content:encoded><![CDATA[<p><strong>NEW YORK, NY / ACCESSWIRE / October 10, 2016 / </strong>Next Graphite, Inc. (OTC PINK: GPNE) ("Next Graphite," "GPNE" or the "Company"), a graphite development company in the African Republic of Namibia and license holder of the Aukam vein project, is pleased to announce<strong> </strong>that its joint venture has entered into a definitive agreement with a vertically integrated graphite producer to supply an initial 5,000 tonnes of graphite per annum, subject to receiving a full mining license, an application for which will be submitted in early 2017. The supply agreement expands upon the Letter of Intent signed in March (see News Release dated March 24, 2016). The agreement is for ten (10) years and the Producer has the option to renew the agreement for an additional ten (10) years.</p>
<p>Following signing of the Letter of Intent, the Company's joint venture supplied the Producer with several samples of Aukam vein graphite material for testing, including a 1.6 tonne bulk sample. All samples successfully passed preliminary testing, including suitability use in battery anodes. Following successful additional third party testing, the Producer will purchase commercially reasonable quantities of graphite each year that could eventually reach 10,000 tonnes per annum.</p>
<p>An estimated order for graphite will be placed with the Company at least four weeks prior to each quarter. Delivery of the graphite to the Producer shall be outlined in final orders that specifies quantity, material, sizing, packing, quality humidity and terms of payment. Price of the graphite will be negotiated at the time of each order in the context of prevailing market conditions. It is anticipated that product deliveries will take place Free on Board (FOB) Luderitz Bay, Namibia, approximately 200 kilometres by road from Aukam.</p>

<p>Next's JV partner has begun work on an EIA at an integral part of the Company's application for a mining permit Aukam. The study will consist of three phases of work:</p>
<p>Phase 1 includes gathering all of the information about the project required to apply for an environmental clearance certificate. This phase is complete and the application for the certificate has been submitted.</p>
<p>Phase 2 includes the generation of an environmental scoping report and a draft environmental management plan, both of which will be submitted to the Environmental Commissioner.</p>
<p>Phase 3 includes gathering data on relevant physical, biological and socio-economic conditions to form an assessment of baseline environmental conditions and potential impact of the project.</p>
<p>A final report and environmental management plan will be submitted to the Environmental Commissioner at the end of the study.</p>
<p>It is expected that the EIA will be completed and submitted to the Ministry of Environment and Tourism before the end of 2016.</p>

(OTC PINK: GPNE) ("Next Graphite," "GPNE" or the "Company"), a graphite exploration/development stage company in the African Republic of Namibia, is pleased to announce completion of a NI43-101 technical report for its Aukam graphite project and the granting of permission to use explosives for underground exploration at the project.</p>
<p>Explosives will be used at the Aukam site to complete the process of making the adits safe by blasting large blocks of rock that were unable to be barred down in the initial phase (see News Release dated August 16, 2016). Blasting is expected to start in early October, initially with the remaining bad hangings in the adits, followed by clearing the winze area at the back of the lower adit (to open access to a lower level), and finally in the open pit to ensure all loose material is removed from the stopes.</p>
<p>Once the adits have been made safe, the Company's JV will proceed with an underground exploration program of drilling and development to delineate resources down dip of the lower adit. These resources will be included, together with the results of an Environmental Impact Assessment (EIA), in the application for the mining license.</p>

(OTC PINK: GPNE) ("Next Graphite," "GPNE" or the "Company"), a graphite exploration/development stage company in the African Republic of Namibia, is pleased to announce the signing of a Farm Out agreement (the Agreement) with CKR Carbon (CKR) for its Aukam graphite project. Under the terms of the Agreement Next Graphite will allow CKR to earn up to 63% interest in the License and the Project upon completion of (i) investing $1.1 million in cash; or (ii) the completion of the plant and infrastructure set up; and (iii) government authorization to begin commercial operations. CKR has spent $400,000 to date on the project.</p>
<p>The Farm Out agreement also specifies that CKR make quarterly payments for a total of $180,000 ($85,000 paid to date) during the Farm-Out period, which began on June 8, 2015 (on signing of the Joint Venture Agreement) and ends when CKR has earned up to 63%, as outlined above. Should the Farm-Out Period need to be extended beyond the time in which CKR has invested its $1.1 million, Next will continue to be paid $25,000 per Quarter [or pro-rata for a partial Quarter] until (i) the completion of the plant and infrastructure set up; and (ii) government authorization to begin commercial operations. In addition, in the case where the Farm-Out period is extended, and the revenue stream from graphite sales is less than $100,000 per month, CKR will loan Next Graphite $25,000 per quarter.</p>
<p>In the event any material is sold at any time, any realizable amount from net proceeds of sale of the material shall be distributed to the parties in the following proportions: 63% to CKR and 37% to Next. The JV currently has a Letter of Intent to supply up to 5,000 metric tonnes of graphitic material grading between 40 and 50% Cg (carbon as graphite) over the course of the next year (see Next Graphite News Release dated March 24, 2016).</p>

(OTC PINK: GPNE) ("Next Graphite," "GPNE" or the "Company"), a graphite exploration/development stage company in the African Republic of Namibia, is pleased to announce the on-time filing of its latest SEC Form 10-Q and the start of underground exploration at the past-producing Aukam graphite project in Namibia. This next phase of work will focus on delineating resources in support of an application for a mining license in early 2017, or sooner.</p>
<p>Initial work included the surveying of the underground adits and open pit at the past producing graphite mine. Two adits were surveyed, the lower adit extends into the hillside for a total of 165 metres with two of the largest stopes, each over two metres wide, occurring near the end of the adit (see map at <a href="http://www.nextgraphite.com">http://www.nextgraphite.com</a>). The upper adit, located 27 metres above the lower adit extends into the hillside for 75 metres. Both adits end directly below the open pit, which is located approximately 30 metres above the upper adit and 57 metres above the lower adit. This suggests that graphite veins observed at surface in the open pit extend 57 metres down dip to the stopes in the lower adit. Recent preliminary assessments of the veins in the lower adit (see News Release dated July 25, 2016) indicate that they continue below the level of the lower adit.</p>
<p>As recently reported in our New Release of August 10, Next Graphite's joint venture is also in the process of making the underground workings safe prior to undertaking exploration. Loose hangings in the open stopes of both adits have been barred down under the direction of a mining engineer. Larger blocks unable to be manually barred down will be blasted to complete the process of making the adits safe. In preparation for the blasting, blast holes have been prepared in both adits, and the explosive magazine from the historical mining activity is being rehabilitated.</p>
<p>Once the explosives arrive on site, blasting will begin with the remaining bad hangings in the adit, followed by clearing the winze area at the back of the lower adit (this will open access to a lower level) and finally in the open pit to ensure all loose material is down from the stopes. Much of the material that has been barred down and will be blasted is from graphite veins in the old stopes. This will be sorted and added to the graphitic material stockpiled from our recent bulk sampling program. Recent assays of vein material from the lower adit resulted in values of 18.34% Cg (carbon as graphite) to 56.06% Cg (see news release dated July 25, 2016).</p>
<p>Once the adits have been made safe, detailed mapping of the exposed graphite veins will be undertaken and results used in planning an underground drilling program. The program will aim to delineate resources down dip of the lower adit to be included in the application for a mining permit.</p>

(OTC PINK: GPNE) ("Next Graphite," "GPNE" or the "Company"), a graphite exploration/development stage company in the African Republic of Namibia, is pleased to announce significant progress in completing an assessment of graphite reserves at its Aukam graphite site.</p>

<li>A survey of the old mine workings has been completed and survey plans have been submitted to the Department of Mines, as per regulations.</li>
<li>Mechanical scaling down of bad hangings has been completed in both Adit 1 and Adit 2. Split sets have been installed in sections of the Adits and iron bar and timber platforms have been installed.</li>
<li>A magazine, to house explosives cartridges, has also been built and the Company is awaiting inspection by relevant authorities.</li>
<li>Blasting of the bad ground that could not be bared down or supported by split Bars will be done as soon explosives arrive on site. Holes for this purpose have been drilled.</li>

<p>In addition, old mine workings are being cleaned both for safety and to allow geological mapping. The geological mapping will allow siting of exploration drill holes underground that will probe the down-dip extension of the ore body.</p>

(OTC PINK: GPNE) ("Next Graphite," "GPNE" or the "Company"), a graphite exploration/development stage company in the African Republic of Namibia, is pleased to announce recent assay results for samples of graphite veins from the lower adit and further assays of screened dump material at its Aukam graphite project.</p>
<p>Chip channel samples were taken from three graphite veins exposed in the lower adit and assayed between 18.34% Cg an 56.06% Cg (see table below).</p>
<p>The first sample, taken close to the entrance to the adit, assayed 18% Cg (carbon as graphite) over 0.9 metres (true width of 0.85 metres). A second sample taken at the intersection of the adit with a crosscut assayed 41.98% Cg over 0.84 metres (true width of 0.83 metres). The third sample was taken from the wall of a 2.2 metre wide stope near the end of the adit and assayed 52.08% Cg. With the exception of the low grade sample RM-001 (table below), results of these assays are consistent with historical assays of graphite veins that range from 41.21 to 68.85% Cg.</p>
<p>Three separate two-to-four kilogram grab samples of screened and sorted material from the dumps produced by the ongoing bulk sampling program assayed 41.55% Cg to 53.48% Cg. Previous assay results have ranged from 55.64% Cg to 63.87% Cg (see news release dated June 14, 2016). The average grade of the ten samples taken to date is 56.29% Cg.</p>
<p>"We are impressed with the consistency of assays from the screened and sorted material produced during the bulk sampling program," said Cliff Bream, President and CEO of Next Graphite. "This indicates that the screening and sorting is achieving the desired outcome of generating an upgraded graphitic product. (OTC PINK: GPNE) ("Next Graphite," "GPNE" or the "Company"), a graphite exploration/development stage company in the African Republic of Namibia, is pleased to announce the start-up of the bulk sampling of graphitic material from the dumps at the Aukam graphite project in southern Namibia.<strong><u></u></strong></p>
<p>Site construction, including quarters for 30 workers and the building and installation of a screen, has been completed on schedule and on budget. Preparation for the bulk-sampling program including finalizing the infrastructure and clearing graphitic material from the adits and stockpiling on the dumps has also been completed.</p>
<p>The heavy equipment has arrived on site and work is under way. The bulk-sampling program is focussed on separating the graphitic material found in the Aukam dumps from the waste country rock by screening loads of dump material then hand-sorting the screened product. Approximately 500 tonnes of dump material are currently being screened and sorted each day.</p>
<p>Seven sub-samples from a 1.6 tonne sample of screened dump material were recently assayed and averaged 59.4% carbon as graphite (see news release dated June 14, 2016).</p>

<p>The above seven samples were taken from the 1.6 tonnes shipped as part of our commitment under a Letter of Intent with a vertically integrated graphite producer (previous news release dated March 24, 2016) and are believed to be representative of that larger sample.</p>

(OTC PINK: GPNE) ("Next Graphite," "GPNE" or the "Company"), a graphite exploration/ development stage company in the African Republic of Namibia, is pleased to announce that, as required under its Letter of Intent (see News Release dated, March 24, 2016), a 1.6 tonne sample has been delivered to the producer in order for it to test the material in its plant.</p>
<p>Additionally, construction and installation of bulk equipment on-site, including separation screens and sorting bays, has commenced in order to fulfill delivery of specified graphite.</p>
<p>Under the terms of the LOI, up to 5,000 metric tonnes of graphitic material grading between 40 and 50% Cg (carbon as graphite) will be delivered over the course of the next year, with a first shipment of at least 2,000 tonnes of graphitic material to be made during July 2016.</p>

 Next Graphite, Inc. (OTC PINK: GPNE) ("Next Graphite," "GPNE" or the "Company"), a graphite exploration / development stage company in Africa's Republic of Namibia, today announced that its joint venture partner has secured an LOI in which the venture will supply up to 5,000 metric tonnes of graphite material to a vertically integrated graphite producer over the course of the next year. First shipment is anticipated in July of this year. </p>
        <p>Graphitic material grading between 40 and 50% Cg (carbon as graphite) will be delivered over the course of the next year under the terms of the letter of intent. It is expected that a first shipment of between 2,000 and 3,000 tonnes of graphitic material will be made in July 2016, prior to which the partners will supply a 1.6 tonne sample to allow the producer to run the material through its mill and make any adjustments necessary to treat the Aukam material on a go-forward basis.</p>
        <p>This material comes from the previously announced bulk sampling program (see news release dated December 18, 2015). During a 500 tonne bulk sampling program in 2014, Next Graphite was able to stockpile and grade 240 tonnes of graphitic lumps with an average grade of 41.6% Cg within a range of 17.0% to 81.8% Cg.</p>
